Minutes of February 26, 2013 Board Meeting

Board Members Present: Howie Hawkins, Yaschia Kinsey, Shirley Rowser

All decisions were made by consensus unless otherwise noted.

1. Presentation on General Manager Recruitment

Davine Bey, a recruiter at Cornell University and private consultant with Global i365, made a presentation on recruiting a general manager. He reviewed how he would do the general manager recruitment process in which he emphasized that Eat To Live would be selling the job as much as recruiting someone who met the job qualifications in a job description. If we contracted with his firm, Global i365, he said we should figure on a six to eight week time frame to recruit a manager and his firm would guarantee the position is filled for a year if the first candidate recruited does not work out. The board agreed to consider contracting with Mr. Bey at the next board meeting.

2. Collecting Monthly Payments Towards Membership Certificate When Co-op Opens for Business

Howie Hawkins proposed that Eat To Live Food Cooperative start the clock on collecting $10 a month payments towards a Membership Certificate during the calendar month in which the co-op opens for business. He argued that that it would a more efficient use of our time and resources to have the staff collect the payments during the normal course of business than to spend time before the store opens asking people for monthly payments for a store that has not opened yet. The board agreed to the proposal.

3. Resolution on Depository Institution Accounts

The board approved the Resolution on Depository Institution Accounts that was introduced at the December 12, 2012 meeting to establish an account with Key Bank for short term cash management and Cooperative Federal for long term savings and reserves. The resolution is attached at the end of these minutes.

4. Membership Recruitment

Shirley Rowser reported that the city will do a mailing to ints approximately 2500 employees urging them to join the Eat To Live Food Cooperative. Shirley Rowser also reported that 100 Black Men will encourage its members to become members. Howie Hawkins has arranged a meeting with Syracuse United Neighbor’s Southside meeting to introduce the co-op and recruit members on Tuesday, March 12 at Payton Temple, 1816 Midland Ave., Syracuse. The board discussed updating last year’s Progress Report and the original brochure to help with membership recruitment.

Board Resolution on Depository Institution Accounts

Whereas,

  1. Key Bank has a neighborhood branch close to the Eat To Live Food Cooperative that is convenient for cash deposits and withdrawals needed for the day to day operation of the cooperative,
  2. Key Bank has supported a successful grant proposal to the Southside Community Coalition for the purpose of constructing the building in which the Eat To Live Food Cooperative will be housed,
  3. Cooperative Federal has offered the benefit to a member of the Eat To Live Food Cooperative of becoming a member of Cooperative Federal if Eat To Live Food Cooperative requests a Field of Membership partnership with Cooperative Federal,
  4. Cooperative Federal has offered to explore the possibility of establishing a branch housed within the Eat To Live Food Cooperative,
  5. Cooperative Federal has a mission of serving the business loan and line of credit needs of local businesses and particularly cooperatives, which may be needed by the Eat To Live Food Cooperative,
  6. Pursuing these aforementioned relationships between Cooperative Federal and Eat To Live Food Cooperative is a practical realization of the International Cooperative Principle of Cooperation Among Cooperatives,

Be it therefore resolved by the Board of Directors of the Eat To Live Food Cooperative that:

  1. Eat To Live Food Cooperative will establish an account with Key Bank for short term cash management,
  2. Eat To Live Food Cooperative will establish an account with Cooperative Federal for long term savings and reserves,
  3. Eat To Live Food Cooperative will request by letter to become a Field of Membership for Cooperative Federal.
  4. Eat To Live Food Cooperative will explore the possibility of establishing Cooperative Federal branch within the Eat To Live Food Cooperative.
