Minutes of August 14, 2012 Board Meeting

Board Members Present: Naqia Edwards, Howie Hawkins, Yaschia Kinsey, Baye Muhammad, Shirley Rowser

All decisions were made by consensus unless otherwise noted.

1. Approval of Minutes

Minutes of the July 17, 2012 and July 31, 2012 board meeting were approved.

2. Construction Update

Joseph Byrant reported that the bids requested by the Southside Community Coalition all came in about 20% over budget. The reasons seem to be the limited number of bidders and the high level of construction in the city and high demand for contractors at this time. The plan is to send out another request for bids in early September to a greater number of contractors to see if we can get a lower cost bid.

3. Financial Projections

Ian Grant reported that recommendations the board made at its July 31 meeting resulted in more profitable results. These changes included another $160,000 grant for startup costs, reducing the retail footage to the actual footage available, and reducing the salaries of the staff except for the general manager.

Concerns that remain are (1) the ambitious rate of member recruitment in the business plan and (2) the need for a line of credit of $100,000 to cover the first two years when working capital now projected is low at around $60,000.

The revised projections do not include potential increased revenues from a “grab and go” cafe operating longer hours. The board agreed we need a business plan for the cafe. Naqia Edwards volunteered to organize a committee to work on this business plan.

4. Survey

Ian Grant reported that 64 surveys were completed and he will send a report of the results to the board. He found 100% interested in the co-op. Support is out there. Travel to the store is an issue. Diabetes is a concern. Another concern is what the co-op can do for kids in the neighborhood. Having a training program in retail and customer service with a certificate upon completion for young people was discussed as one thing the co-op could offer. The co-op and its building could also play role as community advocate and meeting space.

5. Upcoming Events and Member Recruitment

Syracuse Grows Healthy Community Event at Southwest Community Center, Thursday, 12 noon-4 pm, August 14 – Naqia Edwards will go.

Mary Nelson Youth Day Barbeque, Saturday, August 18 – Howie Hawkins and Yaschia Kinsey will cover 3-5 pm.

ArtRage Fall Food Sustainability Film Series:
Monday, September 10, 5:30-7:30 pm – Shirley Rowser will go.
Wednesday, September 19, 7-9 pm – Naqia Edwards will go.
Tuesday, October 23, 7-9 pm – Yaschia Kinsey will go.

6. New Officers

Shirley Rowser will become President. Naqia Edward will become Vice-President. Howie Hawkins will remain Secretary. Yaschia Kinsey will remain Treasurer.

7. September 18, 2012 Board Meeting

Howie Hawkins will draft a notice to members and people on the contact list and send to board members for review.
